1. PROMOTION DESCRIPTION: The McDonald's 2009 Prende La Pachanga Sweepstakes (the "Sweepstakes" or "Promotion") begins on or about August 31, 2009 12:00:01 a.m. Eastern Daylight Time ["EDT"] and is scheduled to end on September 27, 2009, 11:59:59 p.m. EDT (the "Promotion Period"). There is only one (1) way to play: Online at www.meencanta.com (the "Website"). Internet access and a valid email account are required to participate. At the end of the Promotion Period, a random drawing will be conducted to select prize winners from among all eligible entries submitted, received and recorded during the Promotion Period. Entry in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of McDonald's USA, LLC ("Sponsor") which shall be final and binding in all respects.

2. ELIGIBILITY: The Sweepstakes ("Sweepstakes") is open only to legal residents of the fifty (50) United States and the District of Columbia (the "Territory") who are twenty one (21) years of age or older and are physically located in the 50 United States or the District of Columbia at the time of entry. Persons in any of the following categories are NOT eligible to participate or win a prize in the General Sweepstakes: (a) persons who on or after June 1, 2009 were or are franchisees, directors, officers, employees or agents of Sponsor, its member teams, or any parent, subsidiary, affiliate, franchisee, or service agency or independent contractor of such entities; (b) individuals engaged in the development, production or distribution of materials for this Sweepstakes; and (c) persons who are immediate family members (defined as spouse, IRS dependent or biological or step- mother, father, sister, brother, daughter, or son and each of their respective spouses) of any person in any of the preceding categories, regardless of where they live, and/or individuals who reside in the same household, whether related or not, as any person in any of the preceding categories. The transfer of prizes or Sweepstakes materials from an ineligible to an eligible person is strictly prohibited. Void where prohibited.

3. HOW TO ENTER: Log on to the www.meencanta.com (the "Website") and follow the prompts to register for the Promotion. Participants are first required to enter their date-of-birth and e-mail address. First time Participants will need to provide their first and last name, phone number, complete address, city, state and zip code, and agree to these Official Rules. Returning Participants will be prompted to enter their date-of-birth and e-mail address and follow the prompts to receive an entry. Entries must be received and recorded in the Sweepstakes database file during the Promotion Period. Limit one (1) entry per person/ e-mail address per day. A day begins at 12:00:01 a.m. EDT and ends at 11:59:59 p.m. EDT. Incomplete entries will be disqualified. The Website's database clock is the official timekeeper for this Sweepstakes. Once submitted, entries become the property of the Sponsor.

4. WINNER SELECTION/NOTIFICATION: A random drawing will be held on or about October 1, 2009 by an independent judging organization. Potential winners in the Sweepstakes will be randomly selected from all eligible entries received. The potential winners will be notified by phone, e-mail and/or mail on or about three (3) business days after the drawing, in accordance with the contact information provided by the potential winners.

5. PRIZES/APPROXIMATE RETAIL VALUES/ODDS:
Four (4) Grand Prizes are available: Each winner will receive a three (3) day / two (2) night trip for the winner and up to three (3) guests (who must each be at least 21 years old) to attend the 10th Annual Latin GRAMMY® Awards (the "Event") scheduled on November 5, 2009 at the Mandalay Bay Hotel and Casino in Las Vegas, Nevada. Each Grand Prize consists of: round-trip coach class air transportation for the winner and up to three (3) guests from the major airport nearest the winner's residence to Las Vegas, Nevada where the 10th Annual Latin GRAMMY® Awards is being held; ground transportation to/from hotel and to/from Event; two (2) standard hotel rooms double occupancy for two (2) nights; up to four (4) tickets to the 10th Annual Latin GRAMMY® Awards (seating to be determined by Sponsor); walk on the 10th Annual Latin GRAMMY® Awards green carpet; up to four (4) tickets to Official Awards after party (subject to availability); Five Hundred Dollars ($500) spending money awarded in the form of a gift card selected by Sponsor; and a $50 McDonald's Arch Card®. Each winner will also have the option to select one (1) of the following: a Video Camera, an MP3 Player, Car Speakers, or a music download Gift Card (ARV $200 each) that may be used to download Latin GRAMMY® Nominees music. All Event activities are subject to availability, and inclusion in the Prize at the sole discretion of Sponsor. Approximate retail value ("ARV") of each Grand Prize: $4,000. The actual value of the Grand Prize for each winner will depend on the final itinerary for that winner, and any difference between the stated value and actual value will not be awarded. Each winner and guests must possess all required travel documents, including a valid government issued photo identification, comply with all security requirements (for example, for air travel, hotel, and both Event and Event activity venues), and travel on dates, flights and at times specified by Sponsor even should the Prize dates be rescheduled. Winner and guests must travel on the same itinerary, and attend the Event and all Event activities together at all times. Travel and accommodations are subject to availability, change, restrictions and blackout periods may apply. Tickets for the air travel, the Event, and Event activities, as applicable, are subject to the terms, conditions and restrictions printed on the tickets. Airline tickets are non-refundable/non-transferable and are not valid for frequent flyer miles. Travel is subject to the vagaries of flight variation, work stoppages, schedule or route changes, and restrictions. Should a winner or his or her guest(s) engage in behavior that (as solely determined by Sponsor) is obnoxious, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip early, in whole or in part, and escort the winner and/or his or her guest(s) out of the Event or Event activity and send the winner and/or his or her guest(s) to the return airport with no further compensation, and no liability. Ten (10) First Prizes: Each winner will receive on-ear headphones, ARV $200. Ten (10) Second Prizes: a Two Hundred Dollar ($200) music download Gift Card. Gift Card is subject to its Terms and Condition. ARV of each First Prize: $200. One Hundred (100) Third Prizes: Each winner will receive one (1) $20 McDonald's Arch Card®. Arch Card is subject to its Terms and Conditions. Odds: The odds of winning a prize depend on the number of eligible entries received Limit one prize per person, email address, and per household.

6. PRIZE RESTRICTIONS/CONDITIONS:
a. Additional Prize Conditions: All details of prizes not specified will be as solely determined by Sponsor. All expenses, fees and charges not specifically stated, are solely the responsibility of the prize winner. If a winner cannot accept the prize as stated, the prize and all components of the prize may be forfeited in its/their entirety and awarded to an alternate winner. Prizes, and prize components, are non-assignable, non-transferable, and will be deemed void if sold, transferred, auctioned or assigned to any third person or entity. A prize can only be transferred if approved by Sponsor (which approval can be withheld for any reason whatsoever,) and a request for transfer is made in writing and included in the Redemption Envelope with the Prize Claim Documents. The person to whom the prize is to be transferred must meet the eligibility requirements set forth in these Official Rules, and execute all required Prize Claim Documents. No cash alternative or substitution of prizes or prize components will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s), or prize components of comparable value, if the prize or prize component becomes unavailable for any reason. If the Event or any Event activities do not take place as scheduled for reasons beyond Sponsor control, then in lieu of attending the Event and/Event activities, each Grand Prize winner will receive Two Hundred Dollars ($200), plus the remaining prize components, if any, of the Grand Prize shall constitute full satisfaction of Sponsor's prize obligation to the Grand Prize winners, and no other or additional compensation will be awarded. Taxes on each prize are solely the responsibility of each prize winner. A 1099 Tax Form and such other documents as may be required by law, for the ARV of the prize will be issued in January, following the receipt of prize or time of trip.

b. Prize Claim Documents: Each potential prize winner may be required to complete, execute, and return a Declaration or Affidavit of Eligibility (as solely determined by Sponsor), a Liability Release and, where legal, a Publicity Release (collectively, "Prize Claim Documents") within five (5) days of receipt of the Prize Claim Documents. If completed and executed Prize Claim Documents are not returned timely or are returned as non-deliverable, or the Prize Claim Documents are not truthful and accurate in all respects or potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, such potential prize winner may be disqualified, the prize forfeited and an alternate potential prize winner selected. Grand prize winner's guests must complete and return a Liability Release and where legal a Publicity Release prior to issuance of Travel and prize documents. Once a guest is determined the guest cannot be changed without the approval of Sponsor, which may be denied for any reason whatsoever. If Sponsor so elects, a potential prize winner may be required to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sweepstakes or the Sponsor as solely determined by Sponsor.


7. GENERAL TERMS AND CONDITIONS: Participants agree that the Sponsor, its parent company, subsidiaries, affiliates and franchisees, and each of their respective officers, directors, employees, representatives and agents, (collectively and individually the "Promotion Entities") (A) shall not be responsible or liable for, and are released from, any and all losses, damages or injuries of any kind (whether due to negligence or otherwise) to person, including death, and property, resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes or any Sweepstakes related or travel related activity, or from participants' acceptance, receipt, possession and/or use or misuse of any prize, and (B) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, and THE PROMOTION ENTITIES HEREBY DISCLAIM ANY AND ALL SUCH WARRANTIES INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Acceptance of a prize constitutes prize winner's permission (which shall be confirmed in writing upon the request of Sponsor) for Promotion Entities to use prize winner's name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising, trade, commercial and/or publicity purposes worldwide in all forms of media now known or hereafter developed, including on the World Wide Web, at any time or times, in perpetuity, without further compensation (except where prohibited by law) and without notification, review or approval or further authorization.

8. TECHNOLOGY TERMS AND CONDITIONS: Promotion Entities shall have no responsibility for any damage to an entrant's computer or telephone system that is directly or indirectly caused by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Promotion Entities are not responsible for incomplete, misdirected, late, lost, damaged, or stolen entries or emails; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, Websites or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical or programming malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any prize or in any prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture entry or other of information, or the failure to capture or loss of any information. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Website. Internet entry must be made by the entrant, only at the Website. Any use of robotic, automatic, macro, programmed or third party entry methods will void all such entries by such methods, and disqualify any participant using such methods. In the event of a dispute as to the identity of an entrant, any online entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent. The authorized account holder shall be the natural person to whom the applicable e-mail address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible.

9. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the participant or Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the internal laws of the state of Illinois without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws.

10. ARBITRATION DISCLOSURE: By participating in this Promotion in the fifty (50) United States and D.C. each Participant agrees that: (1) any claim, dispute, or controversy (whether in contract, tort, or otherwise) Participant may have against the Promotion Entities arising out of, relating to, or connected in any way with the Sweepstakes, the awarding or redemption of prizes, or the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by American Arbitration Association ("AAA") and conducted before a sole arbitrator pursuant to the applicable Rules and Procedures established by AAA ("Rules and Procedures"); (2) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16; (3) the arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures (provided such location is reasonably convenient for Participant), or at such other location as may be mutually agreed by the Participant and Sponsor; (4) the arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Participant may have entered into in connection with the Sweepstakes; (5) the arbitrator shall apply Illinois law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (6) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only the Participant's and/or Sponsor's individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (7) the Participant and sponsor shall be entitled to recover punitive, incidental and/or consequential damges only to the extent permitted by law; (8) in the event that the administrative fees and deposits that must be paid to initiate arbitration against Sponsor exceed $125 USD for claims less than $10,000 or $375 for claims greater than $10,000 but less than $75,000, and the Participant is unable (or not required under the applicable Rules and Procedures) to pay any fees and deposits that exceed this amount, Sponsor agrees to pay them and/or forward them on the Participant's behalf, subject to ultimate allocation by the arbitrator. In addition, if the Participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the Participant's filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (9) with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither Sponsor nor Participant shall be entitled to arbitrate their dispute. 11. DISQUALIFICATION/FORCE MAJEURE: It is the participant's sole responsibility to ensure that he/she has complied with the terms and conditions contained in these Official Rules. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein or by any event beyond its control, including but not limited to fire, flood, natural or man made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated, in whole or in part, before the designated end date, Sponsor reserves the right to select winners (or the remaining winners, as the case may be) in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Only the type and quantity of prizes described in these Official Rules will be awarded. Any prizes that are not duly claimed in accordance with these Official Rules will not be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

12. LANGUAGE DISCREPANCY: In the event there is a discrepancy or inconsistency between the English language version and the Spanish language version of these Official Rules or of any Sweepstakes materials, the English version shall prevail, govern and control. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Game materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

13. PRIVACY: Information collected in connection with this Sweepstakes may be shared with Sponsor's promotional partners if and to the extent entrants agree at the time of entry, and in such event, such promotional partners will use such information in accordance with their own independent privacy practices. Except as otherwise contemplated in these Official Rules, information collected in connection with this Sweepstakes will be used by Sponsor in accordance with its online privacy policy, which can be found at www.mcdonalds.com/privacy.html.

14. WINNERS LIST: To receive an Official Winners List, mail a self-addressed stamped envelope to the Redemption Center: McDonald's Prende La Pachanga Sweepstakes Winners List Request, P.O. Box 3193, Oak Brook, IL 60522-3193, for receipt by September 28, 2009.

15. OFFICIAL RULES: To receive a copy of these Official Rules, mail a self-addressed stamped envelope to The Redemption Center: McDonald's Prende La Pachanga Sweepstakes Rules Request, P.O. Box 3193, Oak Brook, IL 60522-3193 (VT residents may omit return postage.) Requests must be received by September 28, 2009.
